Terms and Conditions

Description of Our Services

AbroadSign provides a cloud-based electronic signature platform that enables individuals and organizations to create, execute, and manage digital documents and agreements across international borders. Our platform supports multiple signature levels including Standard Electronic Signatures, Advanced Electronic Signatures, and Qualified Electronic Signatures in compliance with the EU eIDAS Regulation and other applicable international frameworks. We offer features including multi-party signing workflows, automated reminders, document templates, identity verification integration, and comprehensive audit trails that meet regulatory requirements across various jurisdictions.

Our services are designed to facilitate legitimate business purposes including commercial contracts, employment agreements, partnership documents, and other legally binding instruments. AbroadSign acts as a technology platform provider and does not assume the role of a legal advisor or intermediary in the agreements you execute using our services. You are solely responsible for ensuring that your use of our platform complies with all applicable laws and regulations in your jurisdiction. For guidance on specific regulatory requirements, we recommend consulting with qualified legal counsel in the relevant jurisdictions.

User Accounts and Eligibility

To access certain features of the AbroadSign platform, you must create and maintain an active user account with accurate and complete registration information. You agree to notify us promptly of any changes to your registration information to ensure that your account remains current and accurate. You are entirely responsible for maintaining the confidentiality of your account credentials, including your password and any other authentication methods used to access our platform. You agree not to share your login credentials with unauthorized third parties and to immediately inform us of any suspected security breach or unauthorized account access.

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. If you are using AbroadSign on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. Users from all countries are welcome to use our platform, but you bear responsibility for ensuring that your use complies with export control laws, sanctions regulations, and other restrictions applicable in your jurisdiction. We reserve the right to suspend or terminate accounts that violate these eligibility requirements.

Document Integrity and Legal Compliance

When using AbroadSign to execute documents, you represent and warrant that you have all necessary rights, authority, and permissions to enter into the agreement being signed. You further represent that the information provided during the signing process is accurate, complete, and not misleading in any material respect. Our platform generates cryptographic audit trails for each signed document, providing evidence of the signing process that can be verified and used in legal proceedings where appropriate. However, AbroadSign does not guarantee the legal enforceability of any specific document, as enforceability depends on factors beyond our control including applicable law and the circumstances of the transaction.

You acknowledge that electronic signature laws vary across jurisdictions and that certain types of agreements may be subject to specific legal requirements that cannot be satisfied through digital signing alone. We maintain resources and documentation to support compliance efforts, including our comprehensive guide to cross-border electronic signatures and our eIDAS 2.0 compliance resources. However, we recommend consulting with qualified legal counsel for specific legal advice regarding your document signing requirements.

Limitation of Liability

To the fullest extent permitted by applicable law, AbroadSign and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our platform or services. This includes damages for loss of profits, data breaches, business interruption, or any other commercial damage, even if we have been advised of the possibility of such damages. Our total liability for any claims arising under these terms shall not exceed the amount you have paid us for our services in the twelve months preceding the claim.

You agree to indemnify and hold harmless AbroadSign, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your violation of these terms or your use of our platform in a manner not authorized by these terms. This indemnification obligation survives the termination of your account or your cessation of use of our services. We encourage you to review our Privacy Policy and GDPR compliance documentation for information about how we handle your data.

Legal Compliance

Termination and Account Deletion

Either party may terminate this agreement at any time by providing written notice to the other party. Upon termination, your right to access and use the AbroadSign platform will cease immediately, though certain provisions of these terms shall survive termination including the limitation of liability, indemnification, and dispute resolution provisions. We may terminate or suspend your account immediately without prior notice if we determine in our sole discretion that you have violated these terms or applicable law. Upon termination, we will provide you with a reasonable opportunity to export your documents and data in accordance with our data retention policies.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which AbroadSign Corporation is registered, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our platform shall be resolved through binding arbitration or the competent courts of the governing jurisdiction. You acknowledge that you have read, understood, and agree to be bound by these terms, and that you have had the opportunity to seek independent legal advice before accepting these terms.
